Terms of Use

These Terms of Use ("Terms") govern your access to and use of deepmoat.ai, Shopify checkout, purchases, bookings, communications, and services provided by DeepMoat AI LLC ("DeepMoat," "we," "us," or "our"). By using the website, purchasing a service, booking a session, or communicating with DeepMoat about services, you agree to these Terms.

DeepMoat services

DeepMoat provides professional services related to AI pressure, decision routing, signal triage, briefings, capacity and buildout decisions, operational app or prototype questions, workflow review, automation boundaries, and related senior-judgment support. DeepMoat is not a staffing agency, emergency support provider, managed-service provider, law firm, accounting firm, investment adviser, medical provider, or regulatory compliance adviser.

Paid offers and checkout terms

Private Signal Triage is a paid 45-minute private Zoom session intended to help route an AI-related decision, tool, vendor, workflow, automation plan, active build, or route reset before time, budget, and trust move in the wrong direction.

Payment is due at Shopify checkout. Booking, Zoom coordination, and service preparation occur after payment is completed. Except where required by law or if DeepMoat cancels or cannot perform the purchased service, US$375 Signal Triage is nonrefundable once paid. One reschedule is included with advance notice; a second may be approved at DeepMoat's discretion. Late cancellation or no-show does not create a refund.

DeepMoat currently credits the US$375 Signal Triage fee toward a Signal Briefing or the next accepted paid scope when that follow-on scope is accepted by DeepMoat. Credits are not cash, are not transferable, and do not require DeepMoat to accept deeper work.

Scope boundaries

Private Signal Triage does not include document review, repo review, source-code review, cloud review, credentialed access, private-system access, regulated-data review, technical diligence, written build recommendations, implementation, security testing, fixed build quotes, or project delivery unless DeepMoat accepts those items in a separate paid scope.

Do not send confidential files, customer data, regulated data, patient or health information, legal files, patent material, NDA-covered material, source code, repositories, private-system links, cloud access, credentials, API keys, tokens, or similar sensitive material before DeepMoat has accepted a paid review scope and confirmed the appropriate access boundary in writing. Unsolicited sensitive material is not accepted for review and may be deleted, ignored, returned, or held until a separate paid scope, NDA, data-processing addendum, or access method is confirmed.

No automatic deeper engagement

A purchase, inquiry, meeting, triage session, or fit conversation does not guarantee that DeepMoat will accept deeper work, provide a fixed quote, deliver an implementation plan, review private materials, or continue beyond the accepted scope. DeepMoat may decline, pause, narrow, or redirect work at its discretion.

Client responsibilities

You are responsible for your decisions, systems, data, vendors, employees, customers, security posture, regulatory obligations, and use of any DeepMoat observations or recommendations. Legal, tax, investment, medical, regulatory, compliance, security, employment, and organizational-accountability decisions remain with you and your qualified advisers.

Confidentiality and pre-scope communications

The public website, Shopify checkout, ordinary inquiry messages, and pre-scope communications are not designed for sensitive-material intake and do not create an NDA, attorney-client privilege, fiduciary relationship, or other protected relationship. Confidentiality obligations, special handling requirements, access methods, and sensitive-material review must be confirmed in a separate written agreement or accepted paid scope.

Acceptable use

You may not misuse the website or services, interfere with site operation, scrape or copy the site in bulk, submit unlawful or harmful material, violate third-party rights, impersonate others, attempt unauthorized access, send malware, submit credentials or secrets outside an approved method, or use the site or services for illegal or abusive activity.

Intellectual property

The website, text, structure, branding, design, service names, frameworks, and other DeepMoat materials are owned by DeepMoat or its licensors and are protected by applicable intellectual-property laws. You may use the website for personal or internal business evaluation of DeepMoat services. You may not copy, reuse, sell, publish, or create derivative works from DeepMoat materials without written permission, except as allowed by law.

You retain ownership of materials you own and choose to provide to DeepMoat. Unless a separate agreement says otherwise, you grant DeepMoat the limited right to use those materials to evaluate, provide, support, and improve the relevant service, subject to the applicable scope and privacy commitments.

AI-assisted work

DeepMoat may use human-reviewed AI-assisted tools for drafting, research, summarization, internal organization, analysis preparation, and service support. AI-assisted work can contain errors, omissions, or outdated information. DeepMoat work should be reviewed by appropriate human decision owners and qualified advisers before use in high-stakes decisions.

Third-party services and links

The website and service path may use or link to third-party services, including Shopify, payment processors, scheduling tools, video-meeting tools, analytics tools, email providers, and external source links. DeepMoat is not responsible for third-party websites, policies, availability, security, or content. Your use of third-party services may be governed by their own terms and privacy policies.

Disclaimers

The website and services are provided "as is" and "as available" to the fullest extent permitted by law. DeepMoat does not guarantee any particular business outcome, implementation result, vendor decision, model performance, automation result, investment result, regulatory result, security result, cost savings, revenue, timeline, or acceptance of future work.

Limitation of liability

To the fullest extent permitted by law, DeepMoat will not be liable for indirect, incidental, consequential, special, punitive, exemplary, lost-profit, lost-revenue, lost-data, business-interruption, reputational, or similar damages arising from or related to the website, services, checkout, bookings, communications, or these Terms. To the fullest extent permitted by law, DeepMoat's total liability for a claim will not exceed the amount you paid DeepMoat for the specific service giving rise to the claim.

Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless DeepMoat from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the website or services, your violation of these Terms, your violation of law, your submitted materials, or your infringement of third-party rights.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where another law is required to apply.

Changes

DeepMoat may update these Terms from time to time. The "Last updated" date shows when this version was last revised. Continued use of the website or services after an update means you accept the updated Terms.
